Associate/Senior Associate – Merchant Banking
GIFT City, Gandhinagar, Gujarat

About the role
We are seeking dynamic and detail-oriented Associates/Senior Associates to join our Merchant Banking team. The ideal candidate will play a critical role in delivering end-to-end financial solutions tailored to our clients' needs. The position offers exposure to diverse assignments, including IPOs, equity and debt syndication, structured finance, and advisory services.
Key Responsibilities
Drafting and Documentation:
- Prepare detailed offer documents such as Draft Red Herring Prospectuses (DRHPs),
Red Herring Prospectuses (RHPs), and other regulatory filings. - Develop Information Memorandums (IMs), Teasers, and client pitches.
Financial Modelling:
- Build and analyze financial models to evaluate business performance and future projections.
- Conduct valuation analysis using DCF, comparative company analysis, and precedent transactions.
Client Engagement:
- Collaborate with clients to gather and analyze data to meet transaction objectives.
- Prepare presentations and pitches to communicate value propositions to potential investors or stakeholders.
Market Research and Analysis:
- Conduct industry research, peer benchmarking, and competitor analysis to support
decision-making. - Stay updated on regulatory frameworks, capital markets, and global trends relevant to merchant banking.
Transaction Support:
- Assist in deal structuring, due diligence, and managing interactions with regulatory authorities.
- Support roadshows and investor presentations as part of the IPO process.
Key Skills and Competencies
- Strong knowledge of financial modelling, valuation techniques, and corporate finance principles.
- Proficiency in drafting regulatory documents (e.g., DRHP, IMs) and investor materials.
- Excellent analytical skills with attention to detail and a commitment to accuracy.
- Exceptional verbal and written communication skills for preparing high-quality reports and
presentations. - Ability to work under tight deadlines and manage multiple projects simultaneously.
- Strong teamwork and interpersonal skills to collaborate with cross-functional teams and
external stakeholders.
Qualifications and Experience
- Bachelor’s degree in Finance, Accounting, Economics, or related fields (MBA/CA/CFA is a
plus). - 2–5 years of relevant experience in investment banking, corporate finance, or a similar field.
- Hands-on experience with IPOs, equity and debt syndication, or advisory transactions is
compulsory. - Proficiency in Microsoft Excel, PowerPoint, and financial analysis tools.
